Initiative to relieve the exigency in the world
This association is a union of people who are well aware of the responsibility we have against all people, no matter what colour their skin has, what their ethical descent might be, what religious traditions they have or in what part of the world they are living. Sense and purpose of our doing is to render human help related to the creation and to develop and to live the quality of our fellow-creatures.
Our points of view are especially:
to treat and to avoid diseases as well as medical service in general,
to extend the awareness of health-giving measures like sport,
measures that helps women to rest uninjured and to be equalised,
the education and formation of children and grown-ups with the aim to develop their abilities and to avoid hereby poverty and its sequences.
The aim is the unbureaucratic and unselfish help for self-help started from the thought: “We help because we can do it”.
§ 1 name and legal seat

(2) This association is meant to be registered and will than have the title e.V. (what means registered association)

§ 2 aim of the association
The aim of the association is:
to treat and to avoid diseases as well as medical service in general,
to extend the awareness of health-giving measures like sport, measures that helps women to rest uninjured and to be equalised,
the education and formation of children and grown-ups with the aim to develop their abilities and to avoid hereby poverty and its sequences.
These aims are realised by the following:
support respectively the building of hospitals and wards of admission for ill people in the Third World, first of all in Africa by delivery of medical instruments, remedies and medicaments as well as active help on the spot.
reconnaissance and education of doctors and aids in a medical sense
sexual reconnaissance and education of the inhabitants, especially women and girls concerning medical risks
support of sport associations and organisations (like fire-brigade) in the Third World, first of all in Africa.
§ 3 Charitableness and application of the means
(1) The only aim of this association is public utility and charitableness.
(2) The association works unselfish and has no own financial aims.
(3) It is only allowed to use the means of the association according to its articles. The members don’t get anything of the association’s means.
(4) No person may be favoured by expenses or unrelated high indemnities which do not correspond to the aim of the association.
§ 4 How to become a member
(1) Each natural or legal person who is willing to support the aims of the association may become a member of the association.
(2) The request for admission has to be in written.
(3) The board of trustees of the association will than take the decision.
(4) In case of non-acceptance of the applicant which is possible without any naming of reasons, the applicant has the right for a convocation of the meeting of all members who finally takes the decision.
§ 5 End of the membership
(1) The membership ends by withdrawal, exclusion, death or dissolution of the legal person.
(2) The withdrawal can only be made in written at a person who has the power of attorney by the board of trustees. This written withdrawal has to be declared one month before the end of a business year to the board of trustees.
(3) An exclusion can only occur out of a very important reason. Such important reasons are a behaviour that causes damage to the aims of the association, the breach of contract of the articles or arrears of pay of the subscriptions for at least one year. Only the board of trustees can decide about an exclusion. The excluded person has the right to ask in written at the board of trustees for the assembly of all members within the period of one month. The board of trustees than finally takes the decision.
§ 6 Subscriptions
Each member has to pay a subscription. In a meeting of all members the amount and the maturity date of the subscriptions are fixed.
§ 7 Organs of the association
The organs of the association are:
(1) meeting of all members,
(2) president
§ 8 Meeting of all members
(1) The most import organ of the association is the meeting of all members. It belongs to the most important duty of this organ – apart others - to elect or withdraw the election of the board of trustees and to unburden it. Apart this it’s duties are:
o the reception of reports of the board of trustees
o the election of an editor
o the fixing of subscriptions as well as the dates of maturity
o the passing of a resolution about the alteration of the articles,
o the passing of a resolution about the dissolution of the association
o the decision about the taking up or exclusion of members in case of appeals
as well as other duties conform to the articles or to the law.
(2) Within the first three month of a business year an orderly meeting of all members has to take place.
(3) he board of trustees is obliged to organise an extraordinary convocation of all members if at least one third of all members do ask for this in written by telling the reasons.
(4) The board of trustees has to organise the meeting of all members by respecting the date of maturity of one week in written by informing about the programme of the meeting. The maturity date begins with the day after all invitation letters are sent. The invitation letters are meant to have arrived if they are sent to the last valid address the association knows.
(5) The programme of the meeting has to be complemented if any member asks for this at least one week before the date of meeting in written. This complement has to be introduced at the beginning of the meeting.
(6) Applications concerning the withdrawal of the election of the board of trustees, about the alternation of the articles, about the dissolution of the association the members did not yet learn from the invitation letters for the meeting of all members, can only be treated at the next meeting of all members.
(7) Without regard to the number of members who are present at a meeting of all members, the meeting is able to take decisions.
(8) The meeting of all members is directed by a member of the board of trustees.
(9) At the beginning of each meeting of all members a secretary has to be elected.
(10) Each member has one vote. This right for voting can only be realised by personal voting or by the written power of attorney of a member.
(11) In case of voting, the single majority of the votes gives will decide.
(12) Alterations of the articles or the dissolution of the association can only be decided if at least two thirds of the present members wants this.
(13) People who do not like to vote or abstentions from voting do not count.
(14) About all
resolutions of the meeting of all members minutes have to be turned Those have
to be signed by the principal of the assembly as well as by the secretary.
§ 9 Business year
A business year is a calendar year.
§ 10 Board of trustees
· To board of trustees belong:
· the president
· his representative
· the secretary
· booking-clerk,
The board of trustees consists (according to § 26 BGB) of the first and the second president and the booking-clerk. They represent the association in any judicial and extra-judicial situation. Each of them has the right to take any legal decision.
· The board of trustees is elected by the meeting of all members for two years.
· Members of the board of trustees can only e people of full age.
· A second election is possible.
· This board of trustees is in office until a new one is elected.
· In case of quittance of the membership of the association, this is also the quittance of the board of trustees.
· The board of trustees leads the running business of the association and cares for the supply, provision of means and administration of the financial and relevant means of the association.

About any meeting
of the board of trustees, minutes have to be made, containing at least the
passing of resolutions and signed by the secretary and the president.
§11 Revisions
· The meeting of all members votes for one year two auditors.
· These auditors cannot be members of the board of trustees.
· It is possible to elect them once again.
§ 12 Dissolution of the association
In case of dissolution of the association or in case of fall away of its aims - if the aim of a non-profit organisation has failed – the financial means of the association will come under a law to fall to the “Heilhaus-Stiftung Ursa Paul, Brandaustraße 10, D-34127 Kassel, who is only allowed to use these means for charity aims.
